E-Commerce Solution Firm, GSI, Initiates Convertible Notes Offer

King of Prussia, Pennsylvania - (Cheap Web Hosting Directory) - June 28, 2007 - E-commerce solutions firm, GSI Commerce, has announed an offer of $100 million in senior convertible notes, in an aggregate principal amount due 2027, in a private offering under the Securities Act.
GSI also intends to grant the initial purchaser of the notes an over-allotment option to purchase up to $15 million aggregate principal amount of additional notes. The notes will be convertible under certain circumstances. Upon conversion of the notes, holders will receive, at GSI’s election, cash, shares of common stock or a combination of cash and shares of common stock. The interest rate, conversion price and other terms of the notes will be determined by negotiations between GSI and the initial purchaser of the notes. GSI expects to use the proceeds for working capital and general corporate purposes, including possible acquisitions.
Any offers of the securities will be made by means of a private offering circular. The securities and the shares of GSI Commerce common stock issuable upon conversion of the convertible notes have not been registered under the Securities Act or the securities laws of any other jurisdiction and may not be offered or sold in the United States absent registration or an applicable exemption from registration requirements.
Recently, GSI was chosen by the National Basketball Association (NBA), as a direct-to-consumer facilitator for the major U.S. professional sports leagues in a long-term arrangement. The NBA, Women’s National Basketball Association (WNBA) and the NBA Development League (the NBA’s minor league), will be provided with full-service, e-commerce operations for online stores. GSI will provide the league’s online stores with online merchandising, e-commerce technology, order processing, logistics, customer care, and online retail marketing services.

A redesigned online store with an expanded assortment of merchandise is scheduled to launch on the GSI platform this fall, ahead of the 2007-08 season tip-off. The new online store will feature enhanced customer shopping features such as mini-cart(sm), express shop(sm), parametric search, advanced product reviews and ratings, and multiple alternative payment options. In addition to operating on GSI’s e-commerce platform and integrating the online store with the NBA’s content site, the NBA will use GSI for online marketing, which will include search, affiliate marketing, and marketing with comparison shopping engines.
